The STAMP was developed in partnership with tech law firm Orrick and targets projects preparing for MetaDAO-compliant initial coin offerings (ICOs). It provides legal protections for investors while giving founders a clear path to raise capital without the friction of legacy equity agreements.
Protecting investors while supporting founders
The STAMP bridges the gap between private investment and public ICOs. Startups can create Cayman SPC/SP entities through the MetaDAO interface, allowing investors to commit stablecoins directly to project wallets. Funds are restricted to product development and operational costs until the project launches its ICO, at which point remaining balances are transferred to a DAO-controlled treasury.
Investors signing the STAMP receive a predetermined allocation of the project’s token supply, capped at 20%, eliminating post-investment disputes over token distribution. Tokens are released on a 24-month linear schedule once the ICO is live. Founders with existing equity structures can also adopt the STAMP, replacing prior agreements such as SAFEs or token warrants, simplifying cap tables, and aligning all investors under a unified token-based framework.
A step toward market-protected token economies
Colosseum said the STAMP provides “market-protected” governance, giving tokenholders oversight of project treasuries and intellectual property through decision markets. This ensures transparency, reduces the risk of mismanagement, and allows capital to be fairly returned if a project fails.
By standardizing early-stage token investment and ICO preparation, the STAMP is positioned as a major innovation in crypto venture funding, potentially setting a new benchmark for how startups and investors interact in tokenized economies.
Crypto venture capital activity saw notable shifts in August 2025, with 81 publicly disclosed funding rounds recorded, up 6.6% from July but down 29.6% year-on-year, highlighting both continued interest and evolving dynamics in the space.
