AlphaTON Capital completes $36.2 million financing, acquires $30 million in TON, becoming one of the largest holders globally.

[Block Rhythm] On September 26, AlphaTON Capital Corp (NASDAQ: ATON, hereinafter referred to as "AlphaTON Capital" or "the Company"), a digital asset treasury company focused on the Telegram ecosystem, announced today that it has successfully completed the previously announced financing and has completed its first acquisition of TON tokens, establishing a strong treasury foundation and a high-end strategic relationship network to promote the company's rise strategy.

The company successfully completed a private placement of approximately 6.32 million shares of common stock (or pre-funded warrants in lieu thereof) at a price of $5.73 per share (with each pre-funded warrant reducing by $0.001), raising a total of approximately $36.2 million. In addition, AlphaTON Capital signed a loan agreement for $35 million with BitGo Prime, LLC. Through these financing transactions, the company acquired its first tranche of approximately $30 million worth of TON treasury reserves, making AlphaTON Capital one of the largest holders of TON globally and providing shareholders with significant access to Telegram's ecosystem of one billion users.

The company has established strategic partnerships with several industry leaders from traditional finance and the digital asset industry, including BitGo, Animoca Brands, a trading platform, SkyBridge Capital, DWF Labs, DNA, a trading platform, P2P, TwinStakes, and Alpha Sigma Capital.

In this private placement, Chardan acted as the exclusive placement agent. Hogan Lovells US LLP and Golenbock Eiseman Assor Bell & Peskoe LLP served as the company's legal advisors, Forbes Hare LLP acted as the company's legal advisor in the British Virgin Islands, and Lucosky Brookman LLP served as legal counsel for Chardan.
