Winner Fashion: Entering into a strategic cooperation and investment agreement with Derlin Holdings, while reaching a consensus on the overall framework and direction for the RWA tokenization plan.

Jin10 Data, September 12, reports that Winner Fashion (03709.HK) and Derlin Holdings (01709.HK) jointly announced that on September 12, 2025, Winner and Derlin Holdings entered into a strategic cooperation and investment agreement, whereby Derlin Holdings conditionally agrees to subscribe for subscription shares at the subscription price on the completion date, and Winner conditionally agrees to allocate and issue subscription shares at the subscription price; and Derlin Holdings and Winner have reached an overall framework and direction consensus on the RWA tokenization plan based on the strategic cooperation. The subscription shares correspond to approximately 0.65% of Winner's existing issued share capital as of the date of this joint announcement, and approximately 0.65% of Winner's issued share capital after the allocation and issuance of subscription shares. The total amount raised from the subscription will be HKD 29.9 million, while the net proceeds from the subscription are estimated to be HKD 29.6 million. According to the strategic cooperation and investment agreement, Winner and Derlin Holdings also agree to explore RWA tokenization to create innovative value for Winner's shareholders.
